ACCEPTANCE OF TERMS

NOTICE TO USERS:
BY ODERING STYLE FOR SUCCESS INC.’S ONLINE TRAINING PROGRAMS (HEREAFTER REFERED TO AS “PROGRAM”) AND BY USING PROGRAM AND OR THE LEARNING MANAGEMENT SYSTEM (“LMS”), YOU AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH BELOW.

THIS PROGRAM IS USED THROUGH A STREAMING ONLINE FEED. DOWNLOADING OF THIS PROGRAM IS PROHIBITED. SHARING OF LOGIN OR PASSWORD INFORMATION IS PROHIBITED.  EXCESSIVE ACCESSING OF PROGRAM MAY RESULT IN TERMINATION OF ACCOUNT LOGIN AT OUR DESCRETION.

These Terms and Conditions are entered into between Style For Success Inc. and you, the licensee. If you are using the program on behalf of another person, you represent that you are authorized to accept these Terms and Conditions on that person's behalf.

1. Definitions
   In addition to the terms defined throughout these Terms and Conditions, the terms "you", "your" and "yours" refer to the licensee, customer or purchaser utilizing this program. The terms "we", "us", "our" and Style For Success refer to Style For Success Inc.
2. Copyright and Trademarks
   This program and content is protected by copyright, other intellectual property and other rights in Canada, the United States and throughout the world.
   Unless otherwise noted, all content is subject to intellectual property rights including copyrights and trade marks held or licensed by Style For Success. Licensees may print a completion certificate and one copy of the PDF resources on this program for personal, non commercial use, provided all copyright and other proprietary notices are kept intact. Any other download, reproduction or use without express prior written permission from Style For Success is strictly prohibited. Except as expressly provided herein, no license to use or reproduce the content is given to you and all intellectual property rights therein are expressly reserved.
3. Permitted Uses
   Style For Success hereby grants to the person to whom the password is assigned, and for whom the applicable license fee has been paid (“Licensee”) a non-exclusive, non-transferable, non-assignable, non-sub licensable license to use the program, solely for Licensee's personal use only and not for the benefit of any other person or entity. Such license shall be subject to the terms and conditions contained in this Agreement and shall continue only for so long as Licensee is in compliance therewith. Unless Style for Success otherwise consents in writing, Licensee shall not disclose any part of the program to any other person or entity, and shall not provide any passwords for the program or documentation or any other component of the LMS, including, but not limited to, any modifications thereto and/or works derivative thereof, to any other person or entity.
4. Prohibited Uses
   You may not, nor may you allow others to, directly or indirectly:
• download or otherwise copy the software, video, screen displays, databases, files, data, printouts, content, related documentation, and all other components comprising the program or LMS.
• sell, license, rent, reproduce, modify or attempt to modify or create derivative works from the content in any way or reproduce or publicly display, perform, transmit or distribute or otherwise use the content for any classroom, public or commercial purpose, including without limitation on any other website or in any environment of networked computers, intranet, server access or other electronic media distribution without prior written authorization from Style For Success;
• transfer the content to any other person without the prior written explicit consent of Style For Success;
• use this program in any manner that could damage, disable, overburden or impair this program or the LMS;
• infringe on any patent, trade-mark, trade secret, copyright, right of publicity, or other proprietary right of any person, or impersonate any person or entity;
• use or attempt to use another's account, password, service, system or other information without prior written authorization from Style For Success, or create or use a false identity for this program or LMS;
• attempt to obtain unauthorized access to this program or portions of this LMS which are restricted from general access.
5. Limited Warranty
   Style For Success hereby warrants that for the period permitted here by licensed use, from the date of Licensee’s receipt, if the program or LMS fails to perform substantially in accordance with the documentation, Style For Success will repair or replace the LMS Software or refund a prorated portion of the license fee paid by Licensee, in Style For Success’ sole discretion.
6. Disclaimers
   EXCEPT FOR THE LIMITED WARRANTY PROVIDED FOR IN SECTION 5 ABOVE, STYLE FOR SUCCESS HAS NO OBLIGATIONS TO LICENSEE WITH RESPECT TO THE PROGRAM OR THE LMS. THE PROGRAM AND THE LMS ARE PROVIDED TO LICENSEE “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STYLE FOR SUCCESS EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO WARRANTIES OF ACCURACY, PERFORMANCE, RESULT, OUTCOME, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NONINFRINGEMENT. STYLE FOR SUCCESS DOES NOT WARRANT THAT THE PROGRAM OR THE LMS WILL OPERATE ERROR-FREE, THAT THE PROGRAM OR THE LMS WILL OPERATE IN AN UNINTERRUPTED FASHION OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED. STYLE FOR SUCCESS HAS NO OBLIGATION TO PROVIDE LICENSEE WITH ANY MAINTENANCE SERVICES WITH RESPECT TO THE PROGRAM OR THE LMS OR ANY REVISIONS, UPDATES OR CORRECTIONS. LICENSEE EXPRESSLY WAIVES ITS RIGHT TO ASSERT ANY CLAIM AGAINST STYLE FOR SUCCESS OTHER THAN AS PERMITTED BY SECTION 5.
7. Limit of Liability
   IN NO EVENT SHALL STYLE FOR SUCCESS, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, PARTNERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, AFFILIATES, SUCCESSORS OR ASSIGNS BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, RELIANCE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, LOSS OF BUSINESS,LOSS OF PROFITS, LOSS OF EXPECTED SAVINGS, OR ANY OTHER NON-DIRECT DAMAGES HOWSOEVER CAUSED WHETHER OR NOT STYLE FOR SUCCESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND THEIR COLLECTIVE MAXIMUM LIABILITY TO YOU UNDER OR RELATED TO THIS AGREEMENT SHALL IN NO EVENT EXCEED ONE-HUNDRED CANADIAN DOLLARS ($100 CDN). LICENSEE ACKNOWLEDGES AND AGREES THAT THE LIMITATIONS AND EXCLUSIONS SET FORTH HEREIN REPRESENT THE PARTIES’ AGREEMENT AS TO ALLOCATION OF RISK BETWEEN THEM. THE LIMITATIONS OF LIABILITY AND DISCLAIMERS IN THIS AGREEMENT SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, WARRANTY, STRICT LIABILITY, NEGLIGENCE OR OTHER TORT AND SHALL SURVIVE A FUNDAMENTAL BREACH OR BREACHES OR THE FAILURE OF THE ESSENTIAL PURPOSE OF CONTRACT OR THE FAILURE OF AN EXCLUSIVE REMEDY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, STYLE FOR SUCCESS’ LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.
